Job Summary We are seeking a proactive and business-oriented Legal Counsel to join our Legal team in Beijing. This role aims to look for a legal professional with strong foundational legal knowledge and track record of provision of legal support for business activities and company operation, who is able to work independently and integrate into the business as a strategic and pragmatic business partner and provide legal guidance and advise in the context of the business to achieve the company’s goals as well as navigate business in the fast changing environment to mitigate risks. 我們正在尋找一位積極主動、以商業為導向的法律顧問加入我們在北京的法律團隊。該職位旨在尋找具有深厚基礎法律知識和為商業活動和公司運營提供法律支持的業績記錄的法律專業人士，他們能夠獨立工作并作為戰略和務實的業務合作伙伴融入業務，并在業務背景下提供法律指導和建議，以實現公司的目標，并在快速變化的環境中駕馭業務以減輕壓力風險。 Key Responsibilities · Provide advice and counsel on a variety of legal issues during the business activities (sales, procurement, claim management etc.) and factory operation. · Draft, review, and/or negotiate a variety of contractual documents, such as bidding documents, sales contracts, and procurement contracts. · Address legal inquiries and support business initiatives from internal stakeholders across departments and find pragmatic solutions that balance risk and business. · Ensure the compliant and effective corporate governance structure and documentation of WFOEs and JVs, including drafting and reviewing amendments of Articles of Association, JV contracts, resolutions etc. · Conduct legal research and provide summaries to team members. · Support the development and maintenance of legal templates and guidelines. · Ad hoc support as designated by the General Counsel or Senior Legal Counsels. · 就業務活動（銷售、采購、索賠管理等）和工廠運營中的各種法律問題提供咨詢和咨詢。 · 起草、審查和/或談判各種合同文件，例如招標文件、銷售合同和采購合同。 · 解決法律查詢并支持來自跨部門內部利益相關者的業務計劃，并找到平衡風險和商業機會的實用解決方案。 · 確保外商獨資企業和合資企業合規有效的公司治理結構和文件編制，包括起草和審查公司章程、合資合同、決議等的修訂。 · 進行法律研究并向團隊成員提供摘要。 · 支持法律模板和指南的開發和維護。 · 由總法律顧問或高級法律顧問指定的臨時支持。 Qualifications · Bachelor’s degree in law; LLM or equivalent postgraduate legal qualification preferred. · 3–5 years of relevant legal experience, ideally with commercial legal business partner experience in multinational company. · Strong analytical skills, with the ability to understand complex legal issues and translate into simple, effective and pragmatic guidance for internal stakeholders. · Track record of independently providing high-quality and timely results on a wide variety of commercial matters. · Good business acumen and solution orientated. · Excellent written and verbal communication skills in both Chinese and English. · Ability to work effectively in a multicultural and global business environment. · High attention to detail · Ability to manage and prioritize multiple tasks. · Team-oriented with a proactive attitude and willingness to learn. · 法學學士學位;法學碩士或同等研究生法律資格者優先。 · 3-5 年相關法律經驗，最好有跨國公司的商業法律業務合作伙伴經驗。 · 較強的分析能力，能夠理解復雜的法律問題，并轉化為對內部利益相關者的簡單、有效和務實的指導。 · 在各種商業事務中獨立提供高質量和及時結果的記錄。 · 良好的商業頭腦和以解決方案為導向。 · 出色的中英文書面和口頭溝通能力。 · 能夠在多元文化和全球商業環境中有效工作。 · 高度關注細節 · 能夠管理多個任務并確定其優先級。 · 以團隊為導向，積極主動的態度和學習意愿。
